Terms of service

Last updated 20 October 2026

These terms of service ("terms") are an agreement between you and managemate ("we", "us" or "our"). They apply when you sign up for, purchase or use managemate, the online business software offered at managemate.in and through its web app (together, the "service"). Please read them together with our privacy policy and our cancellation and refund policy, which form part of these terms.

If you use the service on behalf of a business, "you" means that business, and you confirm that you are authorised to accept these terms for it. You must be at least 18 years old and able to enter into a binding contract under Indian law.

1. Key terms

  • Workspace: the space for one business in the service, with its own data, settings, users and subscription.
  • Administrator: a user with the administrator role in a workspace, who can manage its users, settings and subscription.
  • User: a person who has been given access to a workspace.
  • Seat: an active user who has joined a workspace. Pending invitations are not counted until they are accepted.
  • Your data: everything you and your users enter into, import into or upload to a workspace, such as products, photos, contacts, orders, invoices, stock records and notes.

2. Your account

  • You can sign up with your email address, which you confirm with a one-time code, or with your Google account.
  • Please give accurate information and keep it up to date, including the business and billing details shown on your invoices.
  • Keep your password and sign-in methods secure and do not share them. Each person should have their own user account.
  • You are responsible for activity in your workspace under your users' accounts, and for deciding who has access and what each role can do.
  • Tell us promptly at hello@managemate.in if you believe an account has been used without permission.

3. Free trial

Your first workspace includes a 60-day free trial for up to 5 users, with no card required. The free trial is available once per customer, however many workspaces are created. If you have already had a free trial, a new workspace is paused until a plan is purchased.

When the trial ends, the workspace is paused until a plan is purchased, and your data is kept in full. The service is provided free of charge during the trial, as it is and without any commitment from either side.

4. Plans, seats and payment

  • Prices. ₹299 per seat per month, or ₹2,870 per seat per year. Prices are inclusive of all applicable taxes. Current prices are shown on our pricing page. Should prices change, we will inform you before the change applies to any renewal.
  • Seats. Plans are billed per seat. Deactivating a user makes their seat available to someone else.
  • Purchasing. Purchasing a plan ends the free trial and starts your first billing period on the same day. All your data and settings carry over.
  • Payment. Payments are processed securely by Razorpay. You can pay by card, UPI Autopay or netbanking (e-mandate). By purchasing a plan, you authorise us to charge the chosen payment method at each renewal until the plan is cancelled.
  • Renewal. Plans renew automatically at the end of each monthly or yearly period.
  • Adding seats. Additional seats are available immediately. They are charged for the days remaining in the current billing period, and are included in your renewal.
  • Removing seats. Unused seats can be removed at any time. The remaining days of the current period are refunded to the original payment method, and your renewal reflects the new number of seats.
  • Monthly or yearly. A change between monthly and yearly billing takes effect from your next renewal. The current period continues unchanged.
  • Payment issues. If a renewal payment does not go through, your workspace remains available for 7 days while the payment is retried. If it is still unpaid after that, the workspace is paused until a plan is purchased.
  • Invoices. An invoice is issued for every payment and a credit note for every refund, both available from Settings → Subscription.

5. Cancellation and refunds

You may cancel at any time from Settings → Subscription. Your plan will not renew, and you keep full access until the end of the period already paid for. New customers also have a 7-day money-back guarantee, available once per customer. The full rules are in our cancellation and refund policy.

6. Your data

  • You own your data. We do not claim any ownership of it.
  • Our permission to use it. You allow us to host, store, copy, process and display your data only as needed to provide, secure and support the service for you, and as the law requires.
  • No selling. We do not sell your data, and we do not use it for advertising.
  • Access by our team. We look at your data only when needed to provide support you ask for, to keep the service secure and working, or when the law requires it.
  • Your responsibility. You are responsible for your data and for having the right to use it. When you enter personal data about other people, such as your customers, suppliers or staff, you are responsible for giving them any notice and obtaining any consent the law requires. We process that data on your behalf, as described in our privacy policy.
  • Product photos. Photos you upload to products are stored so they can be shown on your screens and printed documents, and can be opened by anyone who has their web address. Please do not upload private documents or personal information as product photos.
  • Paused workspaces. Your data is never deleted when a workspace is paused. Administrators can still sign in, manage users and purchase a plan to continue where they left off.
  • Copies and deletion. You can print or download your documents as PDF files at any time. On request, we will help you obtain a copy of your workspace data, and we will delete a workspace and its data when one of its administrators asks us to, except for records we must keep by law. Please keep your own copies of any documents you need for your records.

7. Acceptable use

You agree not to, and not to allow anyone else to:

  • use the service for anything unlawful, fraudulent or misleading, including issuing false invoices or other documents;
  • upload content that infringes anyone's rights, or that is harmful, obscene or defamatory;
  • upload viruses or other harmful code, or interfere with or disrupt the service or the systems that run it;
  • attempt to gain unauthorised access to the service, to other workspaces or to our systems, or test their security without our written permission;
  • copy, modify, reverse engineer or create derivative works of the service, except as the law expressly allows;
  • resell, sublicense or offer the service to others without our written permission;
  • create workspaces or accounts to get around seat limits, the once-per-customer free trial or the money-back guarantee;
  • extract data from the service by automated means other than the features we provide, or place an unreasonable load on it.

We may remove content or restrict access where we reasonably believe it breaks this section.

8. Documents, taxes and records

managemate helps you prepare invoices, bills, tax calculations, reports and other documents from the information you enter. You remain responsible for checking them, and for your business's compliance with the tax, accounting and other laws that apply to it, including the rates, registrations and filings that apply to your business. Reports in the service are operational summaries. They are not a statutory book of accounts or a tax return, and nothing in the service is legal, tax or accounting advice.

9. Availability and changes to the service

We work to keep the service available, secure and reliable, but we do not guarantee that it will be uninterrupted or free of errors. It may sometimes be unavailable, for example during maintenance or upgrades, or because of events outside our control such as failures of internet, hosting or payment providers.

We improve the service continually and may add, change or remove features. Where a change significantly reduces what a paid plan includes, we will tell you in advance where reasonably possible.

10. Third-party services

The service works with services provided by others, such as Razorpay for payments, Google for sign-in, and WhatsApp or email when you choose to share a document. Your use of those services is subject to their own terms and policies, and we are not responsible for them.

11. Our intellectual property

The service, including its software, design, documentation and the managemate name and logo, belongs to us or our licensors and is protected by law. Subject to these terms, we grant you a limited, non-exclusive and non-transferable right for your users to use the service for your business while your free trial or plan is active. If you send us feedback or suggestions, we may use them without any obligation to you.

12. Disclaimer

To the fullest extent permitted by law, the service is provided "as is" and "as available". Apart from what these terms state, we make no promises or warranties about the service, including implied warranties of merchantability, fitness for a particular purpose or non-infringement.

13. Limitation of liability

To the fullest extent permitted by law:

  • we are not liable for any indirect, incidental, special or consequential loss, or for any loss of profits, revenue, business, goodwill or data, arising from these terms or the service; and
  • our total liability for all claims relating to the service is limited to the amount you paid us for the service in the 12 months before the event that gave rise to the claim.

These limits do not apply where the law does not allow liability to be limited, such as in cases of fraud.

14. Indemnity

You agree to compensate us for reasonable losses, costs and expenses arising from claims by others that result from your data, or from your use of the service in breach of these terms or the law.

15. Suspension and termination

  • By you. You may stop using the service and cancel your plan at any time, as described in our cancellation and refund policy.
  • By us. We may suspend or end your access, with notice where reasonably possible, if you seriously or repeatedly breach these terms, if a payment remains unpaid after the grace period described above, if needed to protect the service, other customers or the public, or if the law requires it.
  • What happens next. When your access ends, the rights granted to you under these terms end. We keep your data as described in section 6 and in our privacy policy, and delete it when an administrator asks us to, except for records we must keep by law. Sections 6 and 11 to 18 continue to apply after these terms end.

16. Changes to these terms

We may update these terms from time to time. We will publish the updated terms on this page and change the date at the top. If a change materially affects you, we will tell you in advance by email or in the service. By continuing to use the service after a change takes effect, you accept the updated terms. If you do not agree with a change, you may cancel your plan.

17. Governing law and disputes

These terms are governed by the laws of India. If a dispute arises, please contact us first, and we will try to resolve it with you in good faith. Subject to that, the competent courts in India have exclusive jurisdiction over any dispute relating to these terms or the service.

18. General

  • These terms, together with the policies they refer to, are the entire agreement between you and us about the service. If we have agreed different terms with you in writing, such as billing by invoice, those terms apply where they differ.
  • If any part of these terms is found to be unenforceable, the rest remains in effect.
  • If we do not enforce a right straight away, we have not given it up.
  • You may not transfer your rights under these terms without our written consent. We may transfer ours as part of a reorganisation, merger or sale of our business, and we will tell you if we do.
  • Neither party is responsible for delays or failures caused by events beyond its reasonable control.
  • We send notices to the email addresses of your workspace's administrators. You can send notices to us at hello@managemate.in.
